1. Introduction & Acceptance of Terms

 

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Innovet (Pty) Ltd, a private company duly incorporated in accordance with the laws of the Republic of South Africa and trading as CleanSa (“CleanSa”, “we”, “us”, or “our”). These Terms govern your access to and use of the CleanSa digital platform, including any website, mobile application, or related services (collectively, the “Platform”).

 

By accessing, browsing, registering on, or using the Platform in any manner, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any policies or guidelines incorporated herein by reference. If you do not agree to these Terms, you must immediately cease all use of the Platform.

 

Your use of the Platform constitutes a continuing agreement, and CleanSa reserves the right to amend or update these Terms from time to time. Any such amendments shall become effective upon publication on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

 

You represent and warrant that you have the legal capacity to enter into a binding agreement under applicable South African law. Accordingly, you confirm that you are at least 18 (eighteen) years of age, or, if you are under the age of 18, that you are using the Platform with the full knowledge, consent, and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

If you are accessing or using the Platform on behalf of a company, organisation, or other legal entity, you warrant that you are duly authorised to bind such entity to these Terms, in which case the term “User” shall include such entity.

 

These Terms are governed by and must be interpreted in accordance with the laws of the Republic of South Africa.

 

 

2. Definitions & Interpretation

2.1 Definitions

For purposes of these Terms, unless the context indicates otherwise, the following words and expressions shall have the meanings assigned to them below:

  •  “Platform” means the CleanSa digital technology platform operated by Innovet (Pty) Ltd, including its website, mobile applications, and any associated systems, interfaces, or functionalities that enable Users to connect. 
  • “Employer” means any User who registers on the Platform for the purpose of posting job opportunities, engaging, or potentially contracting with Job Seekers for domestic, residential, or commercial services. 
  • “Job Seeker” / “Candidate” means any User who registers on the Platform for the purpose of accessing job opportunities, applying for work, or engaging with Employers. 
  • “User” means any person or legal entity who accesses, browses, registers on, or uses the Platform in any capacity, including Employers and Job Seekers. 
  • “Services” means the digital facilitation services provided by CleanSa, limited to enabling the listing, discovery, and application to job opportunities, and any related functionality made available through the Platform.
  • “Content” means any information, data, text, images, documents, job listings, profiles, messages, or other material uploaded, posted, transmitted, or otherwise made available by Users on or through the Platform.

2.2 Interpretation

In these Terms, unless the context clearly indicates otherwise:

  • Words importing the singular shall include the plural and vice versa. 
  • Words importing any gender shall include the other genders.
  • References to natural persons shall include legal persons and vice versa.
  • Any reference to legislation shall include such legislation as amended, re-enacted, or replaced from time to time.
  • Clause headings are for convenience only and shall not affect the interpretation of these Terms.
  • The words “including”, “include”, and “in particular” shall be interpreted as being without limitation.
  • Where any term is defined, any grammatical variation of such term shall have a corresponding meaning. 

If any provision in these Terms is found to be ambiguous, it shall not be interpreted against CleanSa solely by reason of having drafted these Terms.

 

3. Nature of Services 

3.1 Technology Platform Only

CleanSa is a digital technology platform owned and operated by Innovet (Pty) Ltd, designed solely to facilitate connections between Employers and Job Seekers. The Platform enables Employers to post job opportunities and Job Seekers to view and apply for such opportunities.

CleanSa does not provide recruitment, placement, staffing, or employment services of any kind. Its role is strictly limited to providing a neutral, online marketplace for Users to interact.


3.2 No Employment Agency or Recruiter Status

CleanSa is not an employer, labour broker, recruiter, or private employment agency. Nothing in these Terms or in the operation of the Platform shall be construed as creating:

  • An employment relationship between CleanSa and any User;
  • A recruitment or placement relationship; or
  • Any agency, partnership, joint venture, or similar relationship between CleanSa and any User. 

For the avoidance of doubt, CleanSa does not fall within the definition of a “private employment agency” as contemplated in the Employment Services Act 4 of 2014, as it does not procure or supply employees to Employers, nor does it receive remuneration from Employers for such placement.


3.3 No Involvement in Hiring Decisions

CleanSa does not participate in, control, or influence any aspect of the recruitment or hiring process. This includes, but is not limited to:

Screening or selecting candidates;

·         Making hiring recommendations;

·         Negotiating terms of employment; or

·         Entering into agreements on behalf of any User.

All hiring decisions are made solely and independently by Employers, and all applications are submitted voluntarily by Job Seekers.


3.4 No Supervision or Control Over Users

CleanSa exercises no supervision, direction, or control over:

·         The conduct of Employers or Job Seekers;

·         The performance of any work or services; or

·         The terms, conditions, or execution of any engagement between Users.

Users engage with one another at their own discretion and risk.


3.5 No Responsibility for Employment Relationships

Any relationship formed between an Employer and a Job Seeker, whether contractual, informal, temporary, or permanent, is strictly between those parties. CleanSa:

·         Is not a party to any agreement concluded between Users;

·         Does not guarantee the suitability, reliability, or legality of any User;

·         Bears no responsibility for wages, benefits, disputes, misconduct, or termination of any engagement.

All legal obligations arising from any employment or working relationship rest solely with the relevant Employer and Job Seeker.


3.6 User Acknowledgement

By using the Platform, you expressly acknowledge and agree that:

·         CleanSa provides only a facilitation service;

·         You are solely responsible for your decisions, interactions, and agreements with other Users; and

·         You assume all risks associated with engaging with other Users both online and offline.

 

4. User Eligibility & Registration

4.1 Eligibility

To register and use the CleanSa Platform, you must:

·         Be at least 18 (eighteen) years old, or, if under 18, have the full knowledge, consent, and supervision of a parent or legal guardian;

·         Have the legal capacity to enter into a binding contract under South African law; and

·         Provide information that is complete, accurate, current, and truthful at the time of registration and throughout your use of the Platform.

CleanSa reserves the right to refuse registration or access to any person or entity who does not meet these eligibility criteria.


4.2 Account Registration & Accuracy of Information

When creating an account on the Platform, you agree to:

·         Submit accurate personal or business details, including your full name, valid contact information, and any other required information;

·         Keep your account information updated to maintain accuracy;

·         Ensure that all profiles, resumes, or job postings reflect truthful and verifiable information;

·         Notify CleanSa immediately of any unauthorised use of your account.

Providing false, misleading, or fraudulent information may result in immediate suspension or termination of your account.


4.3 Account Security Obligations

You are solely responsible for:

Maintaining the confidentiality of your login credentials, passwords, or any other authentication information;

·         Restricting access to your account; and

·         All activities that occur under your account.

·         You must immediately notify CleanSa of any suspected or actual security breach or unauthorised access to your account.

CleanSa shall not be liable for any loss or damage arising from your failure to comply with these security obligations.


4.4 Suspension or Termination of Accounts

CleanSa reserves the right, in its sole discretion, to suspend, restrict, or terminate your account and access to the Platform, including but not limited to:

·         Violation of these Terms or any applicable laws;

·         Posting false, misleading, or prohibited content;

·         Misuse or abuse of the Platform; or

·         Any conduct that, in CleanSa’s reasonable opinion, threatens the integrity, safety, or functionality of the Platform.

Termination or suspension may be without prior notice, and CleanSa shall not be liable for any losses or damages resulting from such action.

 

5. Employer Obligations

As a registered Employer on the CleanSa Platform, you acknowledge and agree to the following obligations. These obligations are designed to ensure that the Platform remains a lawful, safe, and reliable space for all Users.

 

5.1 Responsibility for Job Advertisements

Employers are solely responsible for all job postings, content, and information submitted to the Platform. This includes, without limitation:

·         Ensuring that job descriptions, qualifications, and requirements are accurate, truthful, and complete;

·         Verifying that the job is legitimate and that the Employer has the authority to hire for the position;

·         Ensuring that any compensation, benefits, and conditions of employment are clearly stated and lawful.

CleanSa is not responsible for the accuracy, legality, or suitability of any job advertisement, and expressly disclaims any liability for claims, disputes, or damages arising from job postings.

 

5.2 Compliance with Labour Laws

Employers must ensure that all job postings, hiring processes, and employment practices comply with all applicable South African labour legislation, including but not limited to:

·         Labour Relations Act 66 of 1995 – governing fair labour practices and dispute resolution;

·         Basic Conditions of Employment Act 75 of 1997 – setting minimum conditions of employment, including working hours, leave, and remuneration; and

·         Employment Equity Act 55 of 1998 – ensuring equitable, non-discriminatory employment practices.

You acknowledge that CleanSa does not monitor or enforce compliance with these laws and that all legal responsibility rests solely with the Employer.

 

5.3 Non-Discriminatory Hiring Practices

Employers must not engage in any form of unlawful discrimination in their hiring practices, including but not limited to discrimination based on:

·         Race, gender, sex, pregnancy, marital status, ethnic or social origin, colour, sexual orientation, age, disability, religion, conscience, belief, culture, language, or birth;

·         Any other grounds prohibited by applicable South African law.

CleanSa may, in its sole discretion, remove job postings or suspend accounts that appear to violate these principles, but CleanSa does not guarantee enforcement, and the Employer remains fully liable for any discrimination claims.

 

5.4 Acknowledgement by Employers

By using the Platform, Employers expressly acknowledge that they:

·         Are solely responsible for the content of job postings and recruitment processes;

·         Shall comply with all applicable labour, employment, and anti-discrimination laws; and

Indemnify CleanSa against any claims, liabilities, fines, or penalties arising from their use of the Platform, job postings, or employment practices.

 

6. Job Seeker Obligations

As a registered Job Seeker on the CleanSa Platform, you agree to comply with the following obligations to ensure the integrity, safety, and lawful use of the Platform:

6.1 Truthful Representation of Qualifications

Job Seekers must provide accurate, truthful, and verifiable information in their profiles, applications, and any other submissions on the Platform. This includes, without limitation:

·         Educational qualifications, professional certifications, and experience;

·         Skills, competencies, and work history;

·         Any other information required by Employers in job postings.

Providing false, misleading, or fraudulent information may result in suspension or termination of your account and may expose you to legal consequences.

 

6.2 Responsible Use of the Platform

Job Seekers must use the Platform responsibly and in compliance with all applicable laws, including:

·         Not posting illegal, fraudulent, offensive, or inappropriate content;

·         Not harassing, defaming, or intimidating other Users;

·         Not engaging in any activity that could harm CleanSa’s reputation, infrastructure, or other Users.

Any misuse or abuse of the Platform may result in account suspension or termination, without prior notice, and CleanSa shall not be liable for any consequences arising from such action.

 

6.3 Direct Engagement with Employers

Job Seekers acknowledge that all communications, applications, and engagements with Employers occur directly between the Job Seeker and the Employer. CleanSa:

·         Does not supervise, mediate, or control these interactions;

·         Is not responsible for any disputes, agreements, or outcomes arising from such engagements;

·         Does not guarantee employment or the suitability of any Employer or job opportunity.

Job Seekers are fully responsible for verifying the legitimacy of job postings, conducting their own due diligence, and making informed decisions regarding any engagement with Employers.

 

6.4 Acknowledgement by Job Seekers

By using the Platform, Job Seekers expressly acknowledge that:

·         They are solely responsible for the information they provide;

·         They engage with Employers at their own risk; and

They indemnify CleanSa against any claims, damages, or losses arising from their use of the Platform or any employment relationships entered into as a result of using the Platform.

 

7. Fees & Payment Terms

7.1 Annual Subscription

Access to the CleanSa Platform for Job Seekers requires the payment of an annual subscription fee. By registering and paying this fee, Job Seekers gain access to the Platform’s services, including the ability to view job listings and submit applications to Employers.

All fees are payable in full prior to access;

CleanSa reserves the right to change subscription fees at any time, with updated fees communicated via the Platform.

 

7.2 No Guarantee of Employment

Job Seekers acknowledge and agree that:

·         Payment of the subscription fee does not guarantee that they will secure employment;

·         CleanSa merely facilitates access to job opportunities and does not influence, mediate, or control the outcome of any application;

Employment decisions are solely at the discretion of the Employer, and CleanSa assumes no responsibility or liability for any failure to obtain employment.

 

7.3 Non-Refundable Fees

Except as otherwise required by applicable law, including the Consumer Protection Act 68 of 2008, all subscription fees are non-refundable.

Refunds will only be issued in accordance with mandatory provisions of the Consumer Protection Act, including where a consumer has a valid right to cancel a service within prescribed timeframes;

Job Seekers are responsible for understanding their rights under South African consumer protection laws before paying any fees.

 

7.4 User Acknowledgement

By paying the subscription fee, Job Seekers expressly acknowledge and agree that:

·         The Platform is a facilitation service only and does not provide employment guarantees;

·         CleanSa’s liability in respect of the subscription fee is strictly limited to access to the Platform; and

Any disputes regarding employment outcomes are to be resolved directly between the Job Seeker and the Employer, without recourse to CleanSa.

 

8. No Employment Relationship

8.1 CleanSa Not a Party to Employment Contracts

Users acknowledge and agree that CleanSa is strictly a technology platform and is not a party to any employment contract, agreement, or engagement formed between an Employer and a Job Seeker.

CleanSa does not negotiate, draft, or enforce any terms of employment.

CleanSa does not act as an employer, agent, recruiter, or intermediary in any contractual sense.

 

8.2 No Liability for Wages, Disputes, or Termination

CleanSa assumes no responsibility or liability for any aspect of the employment relationship between Users, including but not limited to:

·         Payment of wages, salaries, or benefits;

·         Working conditions, schedules, or assignments;

·         Termination, suspension, or disputes arising from employment or engagements;

·         Misconduct, negligence, or breach of contract by any User.

All such matters are the sole responsibility of the Employer and the Job Seeker.

 

8.3 Direct Contracting Between Users

By using the Platform, Users agree that all engagements and agreements are directly between the Employer and the Job Seeker, and that CleanSa:

·         Does not supervise, control, or influence these agreements;

·         Does not provide legal, employment, or recruitment advice; and

Shall not be held liable for any claims, losses, or damages arising from interactions, disputes, or employment arrangements between Users.

 

8.4 Acknowledgement

Users expressly acknowledge that they:

·         Enter into employment or service agreements at their own risk;

·         Assume all obligations, liabilities, and risks associated with such agreements; and

Indemnify CleanSa against any claims, costs, or damages arising from their use of the Platform or any employment relationship formed as a result.

 

9. Limitation of Liability

9.1 No Liability for Hiring Decisions or User Conduct

You expressly acknowledge and agree that CleanSa:

·         Does not make, influence, or participate in any hiring, recruitment, or employment decisions;

·         Does not supervise, control, or direct any User’s conduct, including Employers or Job Seekers;

·         Shall not be liable for any misconduct, misrepresentation, negligence, or unlawful acts committed by any User; and

Has no responsibility for the accuracy, reliability, or completeness of any information, job posting, or profile on the Platform.

 

9.2 No Liability for Loss, Damages, or Disputes

CleanSa shall not be liable for any loss, damage, or dispute arising from:

·         The use of or inability to use the Platform;

·         Any interactions, agreements, or contracts between Users;

·         Employment outcomes, including hiring, termination, or performance of services;

Any indirect, incidental, consequential, special, or punitive damages, including loss of income, profits, or opportunity.

 

9.3 Platform Provided “As Is” and “As Available”

The Platform and all Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to:

·         Merchantability, fitness for a particular purpose, or non-infringement;

·         Accuracy, reliability, or availability of the Platform;

·         Continuous, uninterrupted, or error-free operation of the Platform.

CleanSa does not guarantee that the Platform will meet any specific requirements of Users or that access will be uninterrupted, secure, or free from errors or viruses.

 

9.4 Acknowledgement

By using the Platform, you acknowledge and agree that:

·         Your use is entirely at your own risk;

·         CleanSa’s total liability, whether in contract, delict, or otherwise, is strictly limited to the fees paid by Job Seekers for access to the Platform; and

You indemnify and hold CleanSa harmless from any claim, loss, or damage arising from your use of the Platform or interaction with other Users.

 

10. Indemnity

10.1 General Indemnity

You (“User”) agree to indemnify, defend, and hold harmless Innovet (Pty) Ltd, its directors, officers, employees, agents, affiliates, and licensors (collectively, “CleanSa Indemnitees”) from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

·         Any employment relationship, agreement, or engagement between Users;

·         Any misrepresentation, inaccurate information, or fraudulent conduct by a User;

·         Any unlawful conduct, violation of applicable laws, or infringement of third-party rights;

·         Any use of the Platform that breaches these Terms; or

·         Any dispute or claim arising from the interactions, communications, or transactions between Users.

 

10.2 Scope of Indemnity

This indemnity applies regardless of whether CleanSa had knowledge of, or participated in, the act, omission, or dispute giving rise to the claim. Users acknowledge that CleanSa acts solely as a technology platform and cannot be held responsible for the actions or omissions of other Users.

 

10.3 Defence and Cooperation

CleanSa reserves the right, at its own discretion, to:

·         Assume the exclusive defence and control of any matter otherwise subject to indemnification by the User; and

·         Require the User to cooperate fully in the defence of any claim.

You agree to cooperate with CleanSa in the defence of any claim or action and to provide any relevant information or assistance as reasonably requested.

 

10.4 Survival of Indemnity

The obligations set out in this Section survive the termination, suspension, or expiry of your account and/or these Terms, and remain fully enforceable notwithstanding any termination or cessation of your use of the Platform.

 

11. Vetting Disclaimer

11.1 Limited and Informational Vetting

Any vetting, verification, or background information provided on the Platform—whether related to Job Seekers, Employers, or job postings—is strictly limited and for informational purposes only.

CleanSa may provide basic verification indicators or information supplied by Users, but this does not constitute comprehensive screening.

CleanSa does not guarantee the accuracy, completeness, or authenticity of any information provided through the Platform.

 

11.2 No Guarantee of Suitability, Safety, or Reliability

Employers and Job Seekers expressly acknowledge that:

·         CleanSa does not warrant or guarantee that any User is suitable, competent, trustworthy, or reliable;

·         CleanSa does not guarantee safety in any interactions or engagements that occur as a result of using the Platform;

Any decisions based on vetting information are made at the User’s own risk.

 

11.3 Employer Responsibility to Conduct Own Checks

Employers are solely responsible for conducting their own due diligence, verification, or background checks before engaging a Job Seeker. This includes, but is not limited to:

·         Confirming qualifications, references, and experience;

·         Performing criminal, credit, or professional checks where legally permissible;

·         Assessing suitability for the role and compliance with applicable labour laws.

CleanSa shall not be liable for any damages, losses, claims, or disputes arising from reliance on vetting information provided through the Platform.

 

11.4 Acknowledgement

By using the Platform, all Users expressly acknowledge that:

·         Vetting information is informational only and should not be relied upon as the sole basis for employment or engagement decisions;

·         Users assume all responsibility and risk for their hiring or application decisions; and

Users indemnify CleanSa against any claims, losses, or damages arising from reliance on vetting information.

 

12. Content & Job Listings

12.1 Responsibility for Uploaded Content

Users are solely responsible for all content, data, or information they upload, post, or submit to the CleanSa Platform, including but not limited to:

·         Job listings, descriptions, and requirements;

·         Profile information, qualifications, and resumes;

·         Messages, communications, or other materials shared with other Users.

By posting content, Users warrant that the content is accurate, lawful, and not misleading, and that they have all necessary rights and permissions to post such content.

 

12.2 Prohibited Content

Users may not upload, post, or share content that:

·         Is fraudulent, false, misleading, or deceptive;

·         Is discriminatory, offensive, or abusive based on race, gender, sex, age, religion, disability, sexual orientation, or any other protected characteristic;

·         Violates any applicable law, regulation, or third-party rights;

·         Contains viruses, malware, or other harmful code; or

·         Promotes illegal activity or infringes intellectual property rights.

CleanSa reserves the right to monitor, flag, or restrict content that appears to violate these rules, but CleanSa does not guarantee detection or prevention of prohibited content.

 

12.3 Right to Remove Listings

CleanSa reserves the right, in its sole discretion, to:

·         Remove, suspend, or disable access to any content, listing, or account that violates these Terms, appears fraudulent, or poses a risk to the Platform or Users;

·         Temporarily or permanently restrict access to the Platform without prior notice; and

·         Investigate or report any unlawful content to relevant authorities, where applicable.

Users acknowledge and agree that CleanSa shall not be liable for any loss, damage, or consequences arising from the removal or restriction of content or job listings.

 

12.4 Acknowledgement

By using the Platform, Users expressly acknowledge that they:

·         Are fully responsible for all content they post or submit;

·         Will comply with applicable laws and these Terms in relation to content; and

Indemnify CleanSa against any claims, losses, or damages arising from their content or job listings.

 

13. Privacy & Data Protection

13.1 Collection and Processing of Personal Data

CleanSa collects, stores, and processes personal information from Users in order to provide and improve the Platform’s services. Personal information may include, but is not limited to:

·         Name, contact details, and identification information;

·         Employment history, qualifications, and professional profiles;

·         Job postings and applications submitted by Employers or Job Seekers;

·         Usage data and technical information, such as IP addresses, device information, and login activity.

All collection and processing of personal information is conducted in accordance with the Protection of Personal Information Act 4 of 2013 (“POPIA”) and applicable privacy laws.

 

13.2 Purpose of Data Use

CleanSa processes personal data for the following purposes:

·         To provide access to and operation of the Platform;

·         To facilitate connections between Employers and Job Seekers;

·         To communicate with Users regarding Platform updates, notifications, or administrative matters;

·         To improve, analyse, and maintain Platform functionality, security, and user experience;

·         To comply with legal obligations or respond to lawful requests from authorities.

 

13.3 User Consent

By registering and using the Platform, Users expressly consent to:

·         The collection, storage, and processing of their personal information as described above;

·         The use of such information for the purposes of facilitating the Platform’s services; and

·         The transfer of personal information where necessary for Platform functionality or compliance with legal obligations.

Users may request access to, correction of, or deletion of their personal information in accordance with POPIA, subject to legal and operational requirements.

 

13.4 Data Security

CleanSa implements reasonable technical and organisational measures to protect personal information against:

·         Loss, theft, or unauthorised access;

·         Corruption, misuse, or unlawful processing; and

·         Any threats to the confidentiality, integrity, and availability of User data.

However, Users acknowledge that no online service can be completely secure, and CleanSa does not guarantee absolute security of any information transmitted through or stored on the Platform.

 

13.5 Acknowledgement

By using the Platform, Users acknowledge that:

·         Personal data is collected and processed solely to provide Platform services;

·         CleanSa shall not be liable for any loss, misuse, or unauthorised access to personal information beyond reasonable control; and

Users are responsible for providing accurate, current, and complete personal information and for complying with applicable data protection laws in their interactions with other Users.

 

14. Platform Availability & Technical Disclaimer

14.1 No Guarantee of Uptime or Uninterrupted Service

CleanSa strives to ensure that the Platform is available and operational; however, Users acknowledge and agree that:

·         The Platform is provided on an “as is” and “as available” basis;

·         CleanSa makes no warranties regarding continuous, uninterrupted, or error-free access to the Platform;

CleanSa shall not be liable for any loss, damage, or inconvenience caused by downtime, delays, outages, or service interruptions.

 

14.2 Maintenance and Updates

CleanSa may, at its sole discretion, carry out:

·         Scheduled or unscheduled maintenance, updates, upgrades, or modifications to the Platform;

·         Temporary suspension of services to address technical issues, security risks, or improvements.

·         While CleanSa will attempt to notify Users of planned maintenance, Users acknowledge that:

·         Notification may not always be possible;

Users are responsible for planning around potential service interruptions; and

CleanSa cannot guarantee that maintenance or updates will be free of issues, bugs, or disruptions.

 

14.3 Acknowledgement

By using the Platform, Users expressly acknowledge that:

·         CleanSa does not guarantee availability, reliability, or uninterrupted operation of the Platform;

·         Users assume all risks associated with temporary or permanent interruptions, delays, or technical errors; and

·         CleanSa shall not be liable for any direct or indirect losses, including loss of opportunity, income, or data, arising from Platform unavailability.

 

15. Suspension & Termination

15.1 Grounds for Suspension or Termination

CleanSa reserves the right, at its sole discretion, to suspend, restrict, or terminate a User’s account and access to the Platform, in whole or in part, for any reason, including but not limited to:

·         Violation of these Terms or any applicable laws;

·         Submission of false, misleading, or fraudulent information;

·         Misuse, abuse, or harmful conduct on or via the Platform;

·         Conduct that threatens the security, integrity, or functionality of the Platform; or

·         Engagement in any activity deemed inappropriate, illegal, or harmful to other Users or CleanSa.

 

15.2 Breach of Terms

Any breach of these Terms by a User may result in:

·         Immediate suspension of the User account pending investigation;

·         Removal of job listings, content, or other submitted materials;

·         Permanent termination of access to the Platform.

CleanSa is not required to provide prior notice of suspension or termination, although it may do so at its discretion.

 

15.3 Fraud or Misuse

In the event that a User engages in fraud, misrepresentation, or misuse of the Platform, CleanSa may:

·         Disable or delete the User account immediately;

·         Report such conduct to relevant authorities where appropriate; and

·         Pursue any available legal remedies against the offending User.

 

15.4 No Liability

Users acknowledge and agree that CleanSa shall not be liable for any losses, damages, or consequences arising from suspension, restriction, or termination of their account, including but not limited to lost opportunities or employment prospects.

 

16. Dispute Resolution Between Users

16.1 CleanSa Not Responsible for Disputes

Users acknowledge and agree that CleanSa is not a party to any dispute, disagreement, or claim arising from interactions, applications, engagements, or employment relationships between Users.

CleanSa does not supervise, mediate, or enforce any agreements between Users.

CleanSa shall not be liable for any loss, damage, or claim arising from disputes between Employers and Job Seekers.

 

16.2 Independent Resolution Encouraged

Users are strongly encouraged to attempt to resolve disputes directly with the other party in a fair, lawful, and reasonable manner.

This includes discussing misunderstandings, clarifying terms, and mutually agreeing on resolutions.

Users should maintain written records of any agreements or communications for reference.

 

16.3 Optional Mediation

In the event Users are unable to resolve a dispute independently, they may mutually agree to submit the dispute to mediation before pursuing any formal legal action.

Mediation shall be conducted by a neutral, independent mediator agreed upon by both parties.

Costs and arrangements for mediation shall be shared equally unless otherwise agreed.

Participation in mediation is voluntary and does not affect either party’s legal rights.

 

16.4 Acknowledgement

By using the Platform, Users expressly acknowledge that:

·         CleanSa is not responsible for resolving any disputes between Users;

·         Users are responsible for resolving disputes directly and independently; and

·         Any optional mediation is at the Users’ discretion, and CleanSa assumes no liability for the process or outcome.

 

17. Intellectual Property

17.1 Ownership of Platform and Branding

All intellectual property rights in and to the CleanSa Platform, including but not limited to:

·         Software, code, and underlying technology;

·         Logos, trademarks, trade names, and branding;

·         Website, app, design, layout, graphics, and content;

·         Any documentation, materials, or data created by CleanSa;

·         are owned exclusively by Innovet (Pty) Ltd or its licensors. Nothing in these Terms grants Users any ownership rights in CleanSa’s intellectual property.

 

17.2 Limited License to Users

CleanSa grants Users a non-exclusive, non-transferable, revocable, limited license to access and use the Platform solely for lawful purposes, including:

·         Posting and viewing job listings;

·         Creating and managing profiles;

·         Communicating with other Users in accordance with these Terms.

This license:

·         Does not permit Users to copy, modify, distribute, sell, rent, or sublicense any part of the Platform;

·         Does not permit reverse engineering, decompiling, or attempting to derive source code; and

·         May be revoked at any time, particularly in cases of violation of these Terms.

 

17.3 Protection of Intellectual Property

Users must not:

·         Infringe, dilute, or misuse CleanSa’s trademarks, logos, or branding;

·         Remove, alter, or obscure any copyright, trademark, or proprietary notices; or

·         Use CleanSa’s intellectual property for commercial purposes outside the scope of the Platform without prior written consent.

 

17.4 Acknowledgement

By using the Platform, Users acknowledge that:

·         All intellectual property in the Platform belongs to CleanSa or its licensors;

·         Users are granted only a limited, revocable license for lawful use of the Platform; and

·         Any unauthorized use of intellectual property may result in account termination, legal action, and liability for damages.

 

18. Compliance with Laws

18.1 User Compliance

By using the CleanSa Platform, Users expressly agree to comply with all applicable laws, regulations, and legal obligations in South Africa, including but not limited to:

Labour and employment legislation (e.g., Labour Relations Act 66 of 1995, Basic Conditions of Employment Act 75 of 1997, Employment Equity Act 55 of 1998);

Consumer protection laws, including the Consumer Protection Act 68 of 2008;

Data protection and privacy laws, including the Protection of Personal Information Act 4 of 2013;

Any other laws governing recruitment, contracts, or online platforms.

Users are solely responsible for ensuring their use of the Platform, job postings, applications, and engagements comply with these laws.


18.2 CleanSa as a Neutral Intermediary

CleanSa operates solely as a neutral technology platform, facilitating connections between Employers and Job Seekers. Users acknowledge that:

CleanSa does not act as an employer, recruiter, agent, or employment agency;

CleanSa does not supervise, control, or direct the actions of any User; and

CleanSa is not responsible for monitoring compliance with laws on behalf of Users.


18.3 User Acknowledgement

By using the Platform, Users acknowledge that:

They bear all responsibility for complying with applicable laws in relation to their activities on the Platform;

CleanSa’s role is strictly limited to providing a technology service and does not constitute legal, employment, or compliance advice; and

Users indemnify CleanSa against any claims, fines, or penalties arising from violations of law.

 

19. Governing Law & Jurisdiction • Laws of the Republic of South Africa • Courts of South Africa have jurisdiction

19. Governing Law & Jurisdiction

19.1 Governing Law

These Terms and your use of the CleanSa Platform are governed by, and must be construed in accordance with, the laws of the Republic of South Africa.

Users agree that all matters arising out of or relating to these Terms, the Platform, or interactions between Users shall be interpreted under South African law.

Any statutory rights granted under South African law, including consumer rights, remain unaffected except to the extent permitted by law.


19.2 Jurisdiction

By using the Platform, Users agree that:

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of South Africa;

Users submit to the jurisdiction of such courts for purposes of resolving disputes, enforcing rights, or seeking remedies; and

Nothing in these Terms prevents CleanSa from seeking injunctive relief or other equitable remedies in any competent court if necessary to protect its rights, intellectual property, or the integrity of the Platform.


19.3 Acknowledgement

Users expressly acknowledge that:

They have read, understood, and agreed that South African law governs their use of the Platform;

Any legal proceedings against CleanSa must be initiated in the South African courts; and

They waive any objection to jurisdiction based on forum non-conveniens or similar grounds.

 

 

20. Amendments to Terms

20.1 Right to Update Terms

CleanSa reserves the right, at its sole discretion, to amend, modify, or update these Terms at any time, including changes to:

·         Platform features, functionality, or services;

·         Fees, payment terms, or subscription policies;

·         Legal disclaimers, obligations, or other provisions.

Updated Terms will be published on the Platform and, where possible, Users will be notified of significant changes.

 

20.2 Continued Use Equals Acceptance

By continuing to access or use the Platform after any changes to these Terms:

·         Users accept and agree to be bound by the updated Terms;

·         If a User does not agree to the updated Terms, they must immediately stop using the Platform and may terminate their account;

CleanSa shall not be liable for continued use of the Platform in accordance with the updated Terms.

 

20.3 Acknowledgement

Users expressly acknowledge that:

·         CleanSa may update these Terms at any time without prior individual notice;

·         Continued access or use of the Platform constitutes acceptance of all updates; and

It is the User’s responsibility to regularly review the Terms to stay informed of any changes.

 

21. General Provisions

21.1 Entire Agreement

These Terms, together with any policies, guidelines, or notices posted on the CleanSa Platform, constitute the entire agreement between Users and Innovet (Pty) Ltd regarding the use of the Platform.

They supersede all prior agreements, understandings, or representations, whether written or oral, relating to the Platform.

No other communication, statement, or representation shall modify, limit, or expand the obligations and rights set out in these Terms unless expressly agreed in writing by CleanSa.

 

21.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law:

·         That provision shall be severed from the Terms;

·         The remaining provisions shall remain in full force and effect; and

CleanSa and Users shall replace the invalid provision with a valid provision that most closely reflects the original intent.

 

21.3 No Waiver

Failure or delay by CleanSa in enforcing any right or provision of these Terms shall not constitute a waiver of that right or provision.

Any waiver must be express and in writing to be valid;

A single waiver of a breach or default does not prevent CleanSa from enforcing other provisions or future breaches.

 

21.4 Assignment

Users may not assign, transfer, or sublicense any of their rights or obligations under these Terms without CleanSa’s prior written consent.

CleanSa may assign, transfer, or subcontract its rights and obligations under these Terms, in whole or in part, without notice to Users.

Any attempted assignment in violation of this clause shall be null and void.

 

21.5 Acknowledgement

By using the Platform, Users expressly acknowledge that:

·         These Terms constitute the complete and binding agreement between the User and CleanSa;

·         Any provision deemed invalid does not affect the remainder of the Terms;

·         CleanSa’s rights under these Terms are cumulative and may be enforced at any time; and

·         Users may not transfer their rights or obligations without CleanSa’s written consent.
